Creator agreement

This Creator agreement is a binding contract between you (“Creator”) and GameThemes (“we”, “us”, “platform”) for selling Tebex themes and related digital products on gamethemes.net. It applies worldwide once your creator application is approved, or as soon as you use creator tools to list or manage products. By applying, accepting approval, or publishing a listing, you agree to this agreement together with the Creator rules, Creator fees, Payout policy, License policy, Buyer terms, Refund policy, Privacy policy, and Acceptable use rules. 1. Role of GameThemes - GameThemes operates an independent online marketplace. We are not affiliated with, endorsed by, or sponsored by Tebex or any game publisher. - We provide listing, checkout, payment collection, private delivery, licensing tooling, and related marketplace services. - We may moderate products, accounts, and content to protect buyers and the integrity of the marketplace. 2. Creator account and eligibility - You must be at least 18 years old and provide accurate identity, contact, and (if applicable) business details. - You are responsible for keeping your account secure and for all activity under your creator profile. - You may not transfer your creator account without our written consent. - Approval is discretionary. We may reject, delay, or revoke creator status if information is incomplete, misleading, or policy-breaking. 3. What you may list - You may list original Tebex-ready themes and templates you own or are licensed to sell. - Listings must comply with the Creator rules (quality, honesty, security, demos, and prohibited content). - Products go live only after applicable moderation checks. We may request changes before or after publish. 4. License you grant buyers - Each sale grants the buyer a license as described on the product page and in the License policy (unless you state clearer, more buyer-friendly terms on the listing). - You authorize GameThemes to deliver files, license keys, and updates to eligible buyers on your behalf. - You retain ownership of your intellectual property, except for the limited licenses granted in this agreement. 5. License you grant GameThemes - You grant GameThemes a worldwide, non-exclusive license to host, display, promote, reproduce, and deliver your product materials as needed to operate and market the marketplace (including product pages, search, ads, emails, and demos you provide). - This license ends for future marketing when a product is permanently removed, except for archival, legal, dispute, and delivery obligations to existing buyers. 6. Payments, fees, and taxes - Buyers pay GameThemes (or our payment processors). You authorize us to collect amounts due for your products. - We deduct marketplace commission, applicable processing costs, and other agreed fees as described on the Creator fees page and in platform settings. - Net earnings are recorded in your creator ledger when an order is paid, subject to holds, reversals, refunds, and chargebacks under the Payout policy. - You are responsible for determining and paying taxes that apply to your sales in your country or region. Where required by law, we may collect tax information or withhold amounts. 7. Payouts - Payouts follow the Payout policy, including minimum balances, identity checks, timing, and freezes during disputes. - Failed payments, refunds, chargebacks, or fraud findings may reverse or reduce ledger balances. - You must provide accurate payout details. We are not liable for payouts sent to incorrect details you supplied. 8. Your responsibilities - You are solely responsible for product quality, documentation, compatibility claims, support promises, and lawful content. - You must honor support and update commitments stated on your listings. - You must not circumvent fees, steer buyers to off-platform payment for listed products, or upload malware or infringing content. - You must respond to reasonable moderation or rights-holder requests in good time. 9. Refunds, chargebacks, and disputes - Buyer refund requests are handled under the Refund policy. We may refund or partially refund when policy or law requires it, or when a product is defective, misleading, or undeliverable. - Chargebacks and payment disputes may freeze related earnings and, in serious or repeated cases, affect your creator access. - You agree to cooperate with investigations and provide materials needed to resolve buyer or rights disputes. 10. Removal, suspension, and termination - We may unpublish products, suspend creator tools, withhold disputed funds, or terminate this agreement if you break policies, create legal risk, or harm buyers. - You may stop selling at any time by unpublishing products and requesting account closure under our Privacy / deletion process, subject to open buyer obligations, payouts, and legal retention. - After termination, buyers who already purchased keep their license rights for those purchases, and we may keep delivering those files as needed. 11. Warranties and indemnity - You represent that you have all rights needed to list and sell your products, and that your listings are accurate and lawful. - You agree to indemnify GameThemes against claims, losses, and costs arising from your products, listings, support statements, IP disputes, or policy breaches—except to the extent caused by our willful misconduct. 12. Limitation of liability - The marketplace is provided on a commercially reasonable basis. We do not guarantee uninterrupted availability, specific sales volume, or ranking. - To the maximum extent permitted by law, GameThemes is not liable for indirect, incidental, or consequential damages (including lost profits) arising from marketplace use. - Nothing in this agreement limits liability that cannot be limited under applicable law. 13. Changes - We may update this Creator agreement. Material changes will be reflected on /pages/creator-agreement. Continued use of creator tools after publication means you accept the updated agreement. - If you do not agree, stop listing new products and contact support to wind down your seller activity. 14. Governing terms - This agreement is written in English. Related policies linked from GameThemes form part of it. - If a court finds one clause unenforceable, the remaining clauses stay in effect. - For questions: use Contact or Creator support channels linked from your account.
